Portfolio Landlord Restructuring for Over 55s
At Rockhopper Later Life Finance we help portfolio landlords aged 55 and over who are restructuring their portfolio for retirement. A portfolio landlord, as defined for Prudential Regulation Authority (PRA) purposes, is one with four or more mortgaged BTL properties. Portfolio restructuring is a broader conversation than a single mortgage application, and often involves decisions about which properties to sell, which to retain, and how to structure the ownership going forward.
We work with portfolio landlords who are:
- Approaching retirement and wanting to review their whole portfolio
- Planning to sell part of the portfolio to reduce debt and free cash
- Transferring the portfolio from personal names to a limited company for tax reasons
- Restructuring joint ownership between spouses for tax or estate planning
- Planning the gradual wind-down of the portfolio over several years
- Facing lender criteria tightening that affects their existing portfolio
- Considering how the portfolio should pass to the next generation
A portfolio built over decades represents considerable effort, financial commitment, and often strong emotional attachment. Restructuring it is not a simple optimization exercise; it is a life decision that affects retirement plans, family wealth, and ongoing lifestyle. We take that seriously and treat restructuring conversations with the time they deserve.
PRA portfolio rules were introduced in 2017 and apply specifically to portfolio landlords. Lenders are required to consider the whole portfolio, not just the individual property being financed, when assessing applications from portfolio landlords. This means submitting detailed portfolio documentation including a portfolio summary, business plan, cash flow forecast, and asset and liability statement. Some lenders handle portfolio cases smoothly; others apply stricter criteria or decline portfolio applications above a certain size. Specialist advice helps navigate which lenders fit your specific portfolio profile.
Personal name versus limited company is a major restructuring consideration. Since the Section 24 tax changes, personal name BTL has become less tax-efficient for many higher-rate taxpayers, and transferring to a limited company structure is a common response. The transfer typically triggers Capital Gains Tax (which may be reducible by incorporation relief in specific circumstances) and Stamp Duty Land Tax (which is typically payable on the market value of the transferred properties). The tax analysis is substantial and requires qualified accountant input.
Selling parts of the portfolio is often part of the restructuring plan. A landlord with 10 properties at 65 may plan to reduce to 5 by 75 and to 2 by 85, gradually releasing capital and reducing management burden. The sale pattern needs to consider CGT implications, the timing of letting cycles, and the market conditions for each property. Selling properties that have shown the strongest capital growth first may be more CGT-efficient than selling those with less growth.
Retaining specific properties long-term often makes sense. A portfolio typically includes properties of different qualities, locations, and yields, and retaining the best-performing or most manageable while selling the rest can improve both income and lifestyle. Ownership retained into very old age raises specific inheritance and estate planning considerations.
Joint ownership between spouses can sometimes be restructured for tax efficiency. Moving ownership so that rental profit is taxed in the lower-earning spouse’s hands can reduce overall tax. This requires the right legal and tax structure and professional advice before implementation.
We are not tax advisers, and portfolio restructuring always requires accountant input alongside our mortgage advice. We handle the mortgage side; the accountant handles the tax side. The best outcomes come from coordinating both.
Buy to let including portfolio BTL is generally not regulated by the Financial Conduct Authority.
The Process
Your first conversation is a relaxed discussion about your portfolio, your retirement plans, and your restructuring goals. There is no cost or obligation.
We complete a full fact-find including portfolio documentation. We recommend accountant input on the tax dimensions. We research the lender market for your specific portfolio profile. We come back to you with a written recommendation.
Every portfolio is different. A five-property accidental landlord portfolio is a different conversation from a 20-property professional portfolio, and our advice reflects those differences.
